1 - Interpretation and Definitions

1.1 - Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in the singular or in the plural.

1.2 - Definitions

For the purposes of these Terms of Service:

Account means a unique account created for You to access our Service or parts of our Service.
Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for the election of directors or other managing authority.
Application means the software program provided by the Company downloaded by You on any electronic device, named Jet Set Global.
Broker refers to users of the Service who are listing Aircraft for sale and making them available for potential purchase.
Buyer refers to users of the Service who are seeking to purchase Aircraft or book luxury experiences.
Aircraft refers to private aircraft listed on the platform for sale or inquiry.
Experience Provider refers to users of the Service who are listing luxury travel experiences, yacht charters, luxury accommodations, and other premium lifestyle services for booking or inquiry.
Experience refers to luxury travel experiences, yacht charters, luxury accommodations, and other premium lifestyle services listed on the platform.
Country refers to United Arab Emirates.
Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Jet Set Global Portal, 2D090B Al Haybah 3, PO Box: 66325, Dubai, United Arab Emirates, DET License No. 1573351.
Content refers to content such as text, images, or other information that can be posted, uploaded, linked to, or otherwise made available by You, regardless of the form of that content.
Device means any device that can access the Service such as a computer, a cell phone, or a digital tablet.
Feedback means feedback, innovations, or suggestions sent by You regarding the attributes, performance, or features of our Service.
Inquiry means a request by You to contact a Broker regarding an Aircraft listing or to receive additional information.
Service refers to the Application or the Website or both.
Terms of Service (also referred to as "Terms") mean these Terms of Service that form the entire agreement between You and the Company regarding the use of the Service.
Third-party Social Media Service means any services or content (including data, information, products, or services) provided by a third party that may be displayed, included, or made available by the Service.
Transaction means any purchase, sale, or agreement to purchase or sell Aircraft facilitated through connections made on the Service.
Website refers to Jet Set Global, accessible from https://www.jetsetglobal.ai and https://app.jetsetglobal.ai.
You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

3 - Acknowledgment

These are the Terms of Service governing the use of this Service and the agreement that operates between You and the Company. These Terms of Service set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms of Service. These Terms of Service apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms of Service. If You disagree with any part of these Terms of Service then You may not access the Service.

You represent that you are over the age of 18 years. The Company does not permit those under 18 years of age to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use, and disclosure of Your personal information when You use the Application or Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

4 - Nature of the Service and Platform Role

4.1 - Intermediary Platform

Jet Set Global operates as an online marketplace platform that connects Buyers with Brokers and Experience Providers. We are an intermediary facilitator only and do not:

Own, sell, or broker Aircraft ourselves
Own, operate, or provide Experiences ourselves
Act as an agent for Buyers, Brokers, or Experience Providers
Provide aviation finance, lending, or financial services
Guarantee the accuracy of Aircraft listings or Experience offerings
Participate in or finalize Transactions between Buyers and Brokers or Experience Providers

4.2 - Broker, Experience Provider, and Buyer Responsibility

All Transactions are conducted directly between Buyers and Brokers or Experience Providers.

Brokers are solely responsible for:

The accuracy of Aircraft listings and descriptions
Compliance with aviation regulations and sale requirements
Finalizing all aspects of Aircraft sales
Providing accurate Aircraft history, maintenance records, and documentation

Experience Providers are solely responsible for:

The accuracy of Experience listings and descriptions
Compliance with all applicable travel, hospitality, and service regulations
Delivering the Experience as described
Providing accurate pricing, availability, and booking terms
Maintaining all required licenses, permits, and insurance

Buyers are solely responsible for:

Conducting appropriate due diligence on Aircraft and Experiences
Verifying all Aircraft and Experience information independently
Engaging appropriate professionals (surveyors, legal counsel, travel advisors, etc.)
Negotiating and finalizing purchase or booking terms directly with Brokers or Experience Providers

4.3 - No Warranties on Transactions

We make no representations or warranties regarding:

The suitability, quality, or condition of any Aircraft listed or Experience offered
The accuracy or completeness of information provided by Brokers or Experience Providers
The qualifications, licensing, or regulatory compliance of any Broker or Experience Provider
The outcome of any Transaction or inquiry
The financial capability or authenticity of any Buyer, Broker, or Experience Provider
The availability, safety, or legality of any Experience
The compliance of Experiences with local laws and regulations

5 - Governing Law and Dispute Resolution

5.1 - Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai, without regard to its conflict of law provisions.

5.2 - Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the DIFC-LCIA Arbitration Rules, which Rules are deemed to be incorporated by reference into this clause.

Seat of Arbitration: Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates
Language: English
Number of Arbitrators: One (1), unless the parties agree otherwise or the DIFC-LCIA Court determines that three (3) arbitrators are appropriate
Governing Rules: DIFC-LCIA Arbitration Rules (current version as of the date of commencement of arbitration)

The award of the arbitrator(s) shall be final and binding on the parties, and judgment upon the award may be entered in any court having jurisdiction thereof.

5.3 - DIFC Courts Jurisdiction

For matters not subject to arbitration under Section 5.2, or for the enforcement of arbitral awards, the parties agree to submit to the exclusive jurisdiction of the Dubai International Financial Centre (DIFC) Courts.

5.4 - Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek interim or provisional relief, including but not limited to injunctive relief, from any court of competent jurisdiction, including the DIFC Courts, to preserve the status quo or prevent irreparable harm pending the conclusion of arbitration proceedings.

6 - User Accounts

6.1 - Account Registration

To use certain features of the Service, You may be required to create an account. You agree to provide accurate, current, and complete information during the registration process.

You are responsible for maintaining the confidentiality of Your account credentials and for all activities that occur under Your account. You agree to notify Us immediately of any unauthorized use of Your account.

6.2 - Broker and Experience Provider Verification

Brokers and Experience Providers must complete a verification process before listing Aircraft or Experiences on the platform. This may include:

Proof of professional credentials and licenses
Business registration documentation
Background verification checks
Compliance with industry regulations

The Company reserves the right to reject or suspend any Broker or Experience Provider account that does not meet our verification standards.

6.3 - Account Suspension and Termination

We reserve the right to suspend or terminate Your account at any time if:

You violate these Terms of Service
You engage in fraudulent or unlawful activity
You provide false or misleading information
Your account poses a risk to other users or the platform

7 - Content and Listings

7.1 - User-Generated Content

You retain ownership of all Content You post to the Service. By posting Content, You grant the Company a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute Your Content in connection with the Service.

7.2 - Aircraft and Experience Listings

Brokers and Experience Providers are solely responsible for the accuracy and completeness of their listings. All listings must:

Contain accurate and truthful information
Include clear descriptions and specifications
Provide current pricing and availability
Comply with all applicable laws and regulations
Not contain misleading or deceptive content

7.3 - Prohibited Content

You may not post Content that:

Violates any law or regulation
Infringes on intellectual property rights
Is defamatory, obscene, or offensive
Contains malware or harmful code
Promotes illegal activities
Misrepresents Aircraft or Experiences

7.4 - Content Removal

We reserve the right to remove any Content that violates these Terms or that we deem inappropriate, at our sole discretion, without prior notice.

8 - Fees and Payments

8.1 - Platform Fees

The Company may charge fees for certain services, including but not limited to:

Commission on successful Aircraft transactions (as disclosed at the time of listing)
Commission on Experience bookings (as disclosed at the time of listing)
Premium account features or enhanced listings
Verification or background check fees

8.2 - Fee Structure

All fees will be clearly disclosed before You incur them. Fee structures may vary based on:

Transaction value
Service type (Aircraft sales vs. Experience bookings)
Account tier or membership level
Geographic location

8.3 - Payment Terms

Fees are payable in accordance with the payment terms disclosed at the time of service. The Company may use third-party payment processors to collect fees. You agree to pay all applicable fees and taxes associated with Your use of the Service.

8.4 - Refund Policy

Platform fees are generally non-refundable except as required by law or as explicitly stated in our refund policy for specific services.

8.5 - Fee Changes

We may change our fee structure at any time. We will provide notice of fee changes before they take effect. Continued use of the Service after fee changes constitutes acceptance of the new fees.

8.6 - Additional Fees

We may charge additional fees for premium features, enhanced listings, or other services. Such fees will be clearly disclosed before You incur them.

9 - Intellectual Property

9.1 - Service Ownership

The Service and its original content (excluding Content provided by You or other users), features, and functionality are and will remain the exclusive property of the Company and its licensors.

The Service is protected by copyright, trademark, and other laws of both the United Arab Emirates and foreign countries.

Our trademarks, including "Jet Set Global" and associated logos, may not be used in connection with any product or service without the prior written consent of the Company.

9.2 - Your Feedback

You assign all rights, title, and interest in any Feedback You provide the Company. If for any reason such assignment is ineffective, You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.

10 - Disclaimer of Warranties and Limitation of Liability

10.1 - "AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of the course of dealing, performance, usage or trade practice.

Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards or be error-free or that any errors or defects can or will be corrected.

10.2 - Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 1,000 AED if You haven't paid anything through the Service.

10.3 - No Liability for Transactions

The Company shall have no liability whatsoever for any Aircraft Transactions or Experience bookings, including but not limited to:

The accuracy or completeness of Aircraft or Experience information
The conduct or representations of Brokers, Experience Providers, or Buyers
The quality, safety, legality, or condition of any Aircraft or Experience
Any financial losses resulting from failed Transactions or bookings
Any disputes between Buyers and Brokers or Experience Providers
Any regulatory violations by Brokers, Experience Providers, or Buyers
Any injury, illness, or harm occurring during Experiences
Any cancellations, delays, or changes to Experiences

10.4 - Third-Party Links

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise You to read the terms of service and privacy policies of any third-party websites or services that You visit.

11 - Prohibited Uses

You agree not to use the Service:

In any way that violates any applicable national or international law or regulation
To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
To list Aircraft that You do not have the right to sell or broker
To list Experiences that You do not have the right or authority to provide
To provide false or misleading information about Aircraft or Experiences
To interfere with or circumvent security features of the Service
To attempt to gain unauthorized access to any portion of the Service
To use the Service for any fraudulent or unlawful purpose
To collect or track personal information of other users without consent
To create multiple accounts to manipulate ratings or reviews

12 - Indemnification

You agree to defend, indemnify, and hold harmless the Company and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

Your use and access of the Service
Your breach of these Terms
Your Content posted to the Service
Your violation of any third-party rights, including without limitation any intellectual property, property, or privacy right
Any Transaction or interaction between You and other users of the Service
Any inaccurate or misleading information You provide about Aircraft or Experiences
Any injury, illness, or harm resulting from Experiences You provide

This defense and indemnification obligation will survive these Terms and Your use of the Service.

13 - Data Protection and Privacy

Your use of the Service is also governed by Our Privacy Policy. Please review Our Privacy Policy, which also governs the Service and informs users of Our data collection practices.

We collect, use, and protect Your personal information in accordance with applicable UAE data protection laws and regulations.

14 - Changes to These Terms of Service

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Service.

15 - Entire Agreement

These Terms of Service, together with Our Privacy Policy, constitute the entire agreement between You and the Company regarding Your use of the Service and supersede all prior and contemporaneous written or oral agreements between You and the Company.
